BOARD OF DIRECTORS

Executive Directors

Upon the Listing, our Board will consist of eight Directors, comprising five executive Directors and three independent non-executive Directors. Pursuant to the Articles of Association, our Directors are elected and appointed by the Shareholders for a term of three years and are eligible for re-election upon expiry of their terms of office. According to the relevant PRC laws and regulations, an independent non-executive Director shall not serve for more than six consecutive years.

Mr. WANG

Mr. WANG Wenjing

Mr. WANG Wenjing (王文京), aged 62, is the founder, chairperson of our Board, an executive Director and president of our Company. He is primarily responsible for providing strategic advice and overseeing the development planning of our Group.

Mr. Wang, a respected leader in the software industry with a distinguished career spanning over 37 years, is widely recognized for his extensive expertise in corporate management and strategic foresight. Founded our Group in 1988, Mr. Wang has been the driving force behind its inception and strategic growth, consistently leading us towards progress and setting industry benchmarks. Mr. Wang has been serving as our Director and the chairperson of the Board since then. He was re-designated as an executive Director in June 2025, with effect from the Listing Date. Additionally, he currently holds directorships in a number of subsidiaries of our Group, including, among others: (i) the chairman of the Board and a non-executive director of Chanjet since March 2010; (ii) the chairperson of the board of Yonyou Auto since July 2010, (iii) the chairperson of the board of Yonyou Fintech since July 2012 and (iv) a director of Seentao Tech since January 2021.

Mr. Wang was elected as a member of the 9th to 12th session of the National People’s Congress of the People’s Republic of China (中華人民共和國全國人民代表大會) for a term from March 1998 to March 2018 and served as the vice chairperson of the 10th All-China Federation of Industry and Commerce (中華全國工商業聯合會) and China Software Industry Association. He is currently serving as the vice chairperson of the Internet Society of China (中國互聯網協會), China Enterprise Confederation (中國企業聯合會), China Enterprise Directors Association (中國企業家協會).

Mr. Wang graduated from Jiangxi University of Finance and Economics (江西財經大學) (formerly known as Jiangxi College of Finance and Economics (江西財經學院)) with a bachelor’s degree in economics, in July 1983.
Mr. GUO

Mr. GUO Xinping (郭新平)

Mr. GUO Xinping (郭新平), aged 63, is an executive Director and vice chairperson of the Board of our Company. He is primarily responsible for the internal audit and asset operations and management of our Group.

With a successful career spanning over 36 years, Mr. Guo possesses substantial expertise in financial management, strategic investment, and the commercialization of technology. He joined our Group in July 1989 and successively served as the chief financial officer, president and vice chairperson of our Board. He has been as our Director since November 1999. In June 2025, he was re-designated as an executive Director, with effect from the Listing Date. Mr. Guo currently works at several subsidiaries of our Company, including the chairperson of supervisory committee of Chanjet since September 2011 and a director of Yonyou Fintech since May 2016.

Mr. Guo served as an independent Director of Glodon Company Limited (廣聯達科技股份有限公司), the shares of which are listed on the Shenzhen Stock Exchange (stock code: 002410), from April 2008 to April 2023, and an independent non-executive director of CCID Consulting Company Limited (賽迪顧問股份有限公司), the shares of which are listed on the Stock Exchange (stock code: 2176) from May 2002 to January 2022, respectively.

Mr. Guo graduated from Hong Kong University of Science and Technology with a master’s degree in business administration in November 2007. He was recognized as a senior accountant by the Personnel Department of Hubei Province (湖北省人事廳) in January 1998.
Mr. WU

Mr. WU Zhengping (吳政平)

Mr. WU Zhengping (吳政平), aged 62, is an executive Director and the chief financial officer of our Company. He is primarily responsible for the overall financial and capital market matters of our Group.

Mr. Wu has over 33 years of working experience in the software industry and has extensive experience in corporate management and business operation. He joined our Group in May 1992 and held several managerial positions successively, rising through executive vice president, senior vice president, chief financial officer and chief administrative officer. He has been our Director since November 1999. In June 2025, he was re-designated as an executive Director, with effect from the Listing Date. Additionally, Mr. Wu has been serving as a director of Yonyou Fintech since July 2012, a director of Yonyou Auto since June 2015 and a non-executive Director of Chanjet since March 2010.

Prior to joining our Group, Mr. Wu worked for China Building Materials Academy (中國建築材料科學研究總院) from August 1983 to May 1992. He served as a member of the sixth and seventh sessions of the Chinese People’s Political Consultative Conference of Haidian District, Beijing (中國人民政治協商會議北京市海淀區委員會) from January 1999 to December 2006.

Mr. Wu graduated from China Europe International Business School (中歐國際工商學院) with a master’s degree in business administration in September 2007.
Dr. HUANG

Dr. HUANG Chenhong (黃陳宏)

Dr. HUANG Chenhong (黃陳宏), aged 63, is an executive Director of our Company. He joined our Group in January 2025, serving as a president until March 2025 and was appointed as a Director in April 2025. In June 2025, Dr. Huang was re-designated as an executive Director, with effect from the Listing Date. He is primarily responsible for providing professional advice and judgment related to operation and management to our Group.

Dr. Huang possesses extensive experience in cloud business, technology integration, and enterprise digitalization, contributing significant industry expertise and strategic value to our development. Prior to joining our Group, Dr. Huang held senior managerial positions in well-known multiple multinational companies. He served as the global executive vice president of SAP SE and president of SAP Greater China, from August 2021 to October 2024, successively. Prior to this role, he held the position of president of Dell Inc. Greater China from October 2014 to July 2021. Dr. Huang began his executive career as the president of carrier division at Nortel Networks Corporation China, where he served from July 1992 to October 2010.

Dr. Huang obtain his bachelor’s degree of science and his master’s degree of electrical engineering in Fudan University (復旦大學) in June 1983 and in June 1986, respectively. Furthermore, Dr. Huang obtained a doctoral degree in electrical engineering in Texas A&M University in June 1992.
Mr. GENG

Mr. GENG Fan (耿凡)

Mr. GENG Fan (耿凡), aged 48, is an executive Director of our Company. He joined our Group in September 2011 and was appointed as an executive Director in June 2025. He is primarily responsible for the legal affairs and legal risk management of our Group.

Since joining our Group in September 2011, Mr. Geng had been serving as the general manager of legal affair department of our Group, and was appointed as a vice president of our Group in January 2017. Prior to joining our Group, Mr. Geng commenced his career at King & Wood Mallesons (金杜律師事務所) in July 2001 and then worked at Lianfa Law Firm (聯法律師事務所). From May 2004 to August 2011, he served as the legal adviser at Teng’s Enterprise Group.

Mr. Geng obtained his bachelor’s degree in law from China University of Political Science and Law (中國政法大學) in June 2001 and completed the graduate program (研究生班) in economic law from the same university in October 2006.

Dr. ZHANG

Dr. ZHANG Ruijun (張瑞君)

Dr. ZHANG Ruijun (張瑞君), aged 65, joined our Group as an independent Director in July 2024, and was re-designated as an independent non-executive Director in June 2025, with effect from the Listing Date. She is primarily responsible for supervising and providing independent opinion and judgment to the Board..HK）独立非执行董事，2023年9月起任北京天智航医疗科技股份有限公司（股票代码：688277.SH）独立董事，2024年1月起任招商证券股份有限公司（股票代码：600999.SH）独立董事。1992年12月至2022年11月先后任中国人民大学副教授、教授。

Dr. Zhang has nearly 35 years of professional experience in investment and financial management. She has been serving as a partner and the chief executive officer in Yarui Heyi Capital Management (Beijing) Co., Ltd. (雅瑞和宜資本管理(北京)有限責任公司) since July 2015. Additionally, she has been holding independent directorships in multiple listed companies, including (i) an independent (non-executive) Director in China Merchants Securities Co., Ltd. (招商證券股份有限公司), the shares of which are listed on the Shanghai Stock Exchange (stock code: 600999) and Stock Exchange (stock code: 6099), since January 2024; (ii) an independent Director in Beijing Tianzhihang Medical Technology Co., Ltd. (北京天智航醫療科技股份有限公司), the shares of which are listed on the Shanghai Stock Exchange (stock code: 688277), since September 2023; (iii) an independent non-executive Director in Inspur Digital Enterprise Technology Co., Ltd. (浪潮數字企業技術有限公司), the shares of which are listed on the Hong Kong Stock Exchange (stock code: 00596) since April 2014. From December 1992 to November 2022, Dr. Zhang worked at Renmin University of China (中國人民大學), with her last role as a professor.

Dr. Zhang obtained her Ph.D. degree in accounting from Renmin University of China (中國人民大學) in July 2002. She also obtained her Certified Public Accountant (CPA) qualification in the PRC in July 2015.
Dr. ZHOU

Dr. ZHOU Jian (周劍)

Dr. ZHOU Jian (周劍), aged 51, joined our Group as an independent Director in April 2020, and was re-designated as an independent non-executive Director in June 2025, with effect from the Listing Date. He is primarily responsible for supervising and providing independent opinion and judgment to the Board.

Dr. Zhou is the vice president of the council and secretary general of Zhongguancun Alliance for Integration of Information Technology and Real Economy (中關村信息技術和實體經濟融合發展聯盟). Before joining our Group, Dr. Zhou served as: (i) the head of the System Institute of the National Industrial Information Security Centre (國家工信安全中心系統所) from September 2018 to December 2019; (ii) the head of the Institute of Informatization of the National Centre for Industrial Information Security (國家工信安全中心信息化所) from September 2018 to August 2019; and (iii) the deputy manager and then the manager of the Informatization Research and Promotion Centre of the National Centre for Industrial Information Security (國家工信安全中心信息化研究與促進中心) from July 2010 to September 2018. Prior to these roles, from July 1998 to July 2010, Dr. Zhou successively worked at the University of National Defence Science and Technology (國防科技大學).

Dr. Zhou obtained his Ph.D. degree in control science and engineering from Tsinghua University in July 2008.
Dr. WANG

Dr. WANG Feng (王豐)

Dr. WANG Feng (王豐), aged 49, joined our Group as an independent Director in April 2020, and was re-designated as an independent non-executive Director in June 2025, with effect from the Listing Date. He is primarily responsible for supervising and providing independent opinion and judgment to the Board.

Dr. Wang is the chairperson of the board of directors, chief economic specialist and senior partner of Beijing H&J Consulting Co., Ltd. (北京和君諮詢有限公司), a company primarily engaged in consulting, capital and business studies. He has been serving as an independent non-executive director of Jiangxi Copper Company Limited (江西銅業股份有限公司), the A shares and H shares of which are listed on the Shanghai Stock Exchange (stock code: 600362) and the Stock Exchange (stock code: 0358), respectively, since June 2021.

Dr. Wang received his master’s degree in international trade from Fudan University (復旦大學) in July 2000 and his doctoral degree in business administration from Peking University (北京大學) in July 2006.

Mr. WU

Mr. WU Zhengping (吳政平)

Mr. WU Zhengping (吳政平), aged 62, is an executive Director and chief financial officer of our Company. For his biography, see “— Board of Directors — Executive Directors” in this section.
Mr. FAN

Mr. FAN Guanjun (樊冠軍)

Mr. FAN Guanjun (樊冠軍), aged 52, is an executive vice president of our Company appointed in June 2020. He is primarily responsible for the R&D of our Group.Mr. Fan joined our Group in May 2001 and served as the technical manager of the UAP platform product development department of our Company, and the vice president and president in Xiamen Tobacco Software, a subsidiary of our Company, successively.

Mr. Fan obtained his master’s degree in management from Xiamen University (廈門大學) in June 2014.
Mr. XIE

Mr. XIE Zhihua (謝志華)

Mr. XIE Zhihua (謝志華), aged 50, is a senior vice president of our Company. He is primarily responsible for the cyber security and digital intelligence infrastructure development of our Group.

Mr. Xie joined our Group in June 1998 and was appointed as the current position in 2011. Prior to that, Mr. Xie assumed multiple important roles in our Company gradually, including R&D engineer, manager of development department, deputy general manager of NC business department, manager of NC product department, assistant president, vice president, senior vice president and executive vice president, successively.

Mr. Xie obtained his bachelor’s degree in engineering from Tianjin College of Commerce (天津商學院) in July 1998.
Mr. XU

Mr. XU Yang (徐洋)

Mr. XU Yang (徐洋), aged 50, is a senior vice president of our Company. He is primarily responsible for the medium enterprise business of our Group.

Mr. Xu joined our Group in January 2004 and was appointed as a senior vice president of our Company in January 2017. Prior to that, Mr. Xu served as a manager of U8 business department, general manager of Hunan branch, and general manager of business partner department of our Company. Prior to joining our Group, Mr. Xu started his career at Chongqing Branch of Kingdee Software (China) Co., Ltd. (金蝶軟件(中國)有限公司重慶分公司).

Mr. Xu obtained his Master of Business Administration (MBA) from China Europe International Business School (中歐國際工商學院) in November 2018.
Mr. REN

Mr. REN Zhigang (任志剛)

Mr. REN Zhigang (任志剛), aged 55, is a senior vice president of our Company. He is primarily responsible for the employee training and development of our Group.

Mr. Ren joined our Group in May 1996 and was appointed as the current position in March 2014. He assumed important positions gradually within our Company, including regional marketing representative, general manager of our subsidiaries, Shandong regional general manager, vice president and senior vice president of our Company.

Mr. Ren obtained his bachelor’s degree in economics from Tianjin University of Finance and Economics (天津財經大學) (formerly known as Tianjin University of Finance and Economics (天津財經學院)) in July 1994.
Mr. WU

Mr. WU Ping (吳平)

Mr. WU Ping (吳平), aged 53, is a senior vice president of our Company. He is primarily responsible for the human resources of our Group.

Mr. Wu joined our Group in February 2001 and was appointed as the current position in January 2020. He was promoted from the positions of general manager of our branch, general manager of enterprise management department, vice president and senior vice president of our Company and an assistant president of Yonyouup Information Technology Co., Ltd. (用友優普信息技術有限公司), a wholly-owned subsidiary of our Company. Before joining our Group, Mr. Wu started working at Kunming Branch of Shenzhen Kingdee Software Co., Ltd. (深圳金蝶軟件有限公司昆明分公司) (currently known as Kunming Branch of Kingdee Software (China) Co., Ltd. (金蝶軟件(中國)有限公司昆明分公司)) in July 1994.

Mr. Wu obtained his bachelor’s degree in economics from Renmin University of China (中國人民大學) in July 1994.
Mr. ZHANG

Mr. ZHANG Jixiong (張紀雄)

Mr. ZHANG Jixiong (張紀雄), aged 54, is a senior vice president of our Company. He is primarily responsible for the product planning of our Group.

Mr. Zhang joined our Group in November 1998 and was appointed as the current position in May 2022. In the previous periods, Mr. Zhang successively held the positions of vice president, senior vice president, and president of Yonyou Government Affairs, a subsidiary of our Company. Also, he serves as a senior vice president of our Company and the president of You Tai An Insurance Brokers Co., Ltd. (友太安保險經紀有限公司), also a subsidiary of our Company. Prior to joining our Group, Mr. Zhang worked at Ministry of Railways Economic Planning and Research Institute (鐵道部經濟規劃研究院) (currently known as China Railway Economic and Planning Research Institute Co., Ltd. (中國鐵路經濟規劃研究院有限公司)).

Mr. Zhang obtained his master’s degree from Peking University (北京大學) in January 2012.
Mr. ZHANG

Mr. ZHANG Zhigang (張志剛)

Mr. ZHANG Zhigang (張志剛), aged 55, is a senior vice president of our Company. He is primarily responsible for the asset operation and management of our Group.

Mr. Zhang joined our Group in March 2003 and was appointed as a senior vice president of our Company in April 2023. He successively held the positions of department manager, deputy general manager, and general manager of infrastructure center of our Company, as well as an assistant president and vice president of our Company. Before joining our Group, Mr. Zhang worked at the Audit Bureau of the Ministry of State Security of the PRC (中國國家安全部審計局) starting from May 1996 and served as a budget estimating engineer at Beijing Shougang Design Institute (北京首鋼設計院) (currently known as Beijing Shougang International Engineering Technology Co., Ltd. (北京首鋼國際工程技術有限公司)) from July 1993 to May 1996.

Mr. Zhang obtained his bachelor’s degree in economics from Jiangxi University of Finance and Economics (江西財經大學) (formerly known as Jiangxi College of Finance and Economics (江西財經學院)) in July 1993.
Mr. DU

Mr. DU Yu (杜宇)

Mr. DU Yu (杜宇), aged 50, is a senior vice president of our Company. He is primarily responsible for the large enterprise business of our Group.

Mr. Du joined our Group in September 1996 and successively served in various business line positions with his last position being a senior vice president until April 2021. From April 2021 to June 2023, Mr. Du served as the chief operating officer of Hangzhou BestSign Network Technology Co., Ltd. (杭州尚尚簽網絡科技有限公司). He rejoined our Group in June 2023 and was appointed to his current position as a member of senior management in August 2023. He was familiar with diverse business and sectors within our Group. Mr. Du served as general manager of e-commerce solutions business department, general manager of consumer goods industry business department, general manager of digital marketing business department, general manager of Cloud business department, vice president, and senior vice president of our Company.

Mr. Du graduated from Beijing Foreign Studies University (北京外國語大學) in July 2016.
Mr. SHEN

Mr. SHEN Chongfeng (沈崇鋒)

Mr. SHEN Chongfeng (沈崇鋒), aged 51, is a senior vice president of our Company. He is primarily responsible for the overseas business operation of our Group.

Mr. Shen has nearly 30 years of experience in the technology and software industries. From October 1998 to September 2021, he worked at Kingdee Software (China) Co., Ltd. (金蝶軟件(中國)有限公司), the shares of which are listed on the Stock Exchange (stock code: 00268), where he last served as a general manager and a director. From October 2021 to February 2023, he served as the chairman of the board and the chief executive officer of Shenzhen One Account Intelligent Technology Co., Ltd. (深圳市壹賬通智能科技有限公司). From March 2023 to September 2025, he served as the executive president of Shenzhen Zhongxing New Cloud Service Co., Ltd. (深圳市中興新雲服務有限公司). He joined our Group in October 2025, bringing with him extensive management experience across enterprise software, digital intelligence solutions and business operations.

Mr. Shen obtained a bachelor’s degree in engineering from Changchun College of Geology (長春地質學院) in July 1992 and a master’s degree in engineering from Changchun University of Science and Technology (長春科技大學) (formerly known as Changchun College of Geology and currently incorporated into Jilin University (吉林大學)) in July 1996.
Mr. QI

Mr. QI Lin (齊麟)

Mr. QI Lin (齊麟), aged 47, is a vice president and the secretary of the Board of our Company, primarily responsible for the Board related and capital market matters of our Group.

Mr. Qi was also appointed as one of our joint company secretaries in June 2025, with effect from the Listing Date.

Mr. Qi served as the investor relation manager of our Group from April 2012 to November 2016, and was appointed as the current position in June 2021. Mr. Qi possessed extensive experience in legal compliance, securities and investment. From March 2017 to June 2021, he held the position of senior director of securities affairs in the board office of Beijing management consulting branch of China Fortune Land Development Co., Ltd. (華夏幸福基業股份有限公司), the shares of which are listed on the Shanghai Stock Exchange (stock code: 600340). Prior to that, he worked at Beijing Jincheng Tongda & Neal Law Firm (北京金誠同達律師事務所) from May 2011 to March 2012. He began his professional career at Beijing LexField Law Offices (北京市聯德律師事務所) from July 2009 to April 2011.

Mr. Qi obtained his bachelor’s degree in economic law from China University of Political Science and Law (中國政法大學) in June 2001, and Master of Laws (LLM) and master of philosophy from the University of Sheffield in January 2004 and April 2009, respectively.
Mr. LI

Mr. LI Weimin (李偉民)

Mr. LI Weimin (李偉民), aged 52, is a vice president of our Company. He is primarily responsible for the corporate management of our Group.

Mr. Li joined our Group in November 2003 and previously served as the manager of the corporate management department and the assistant president. Within Group, Mr. Li served as the vice president of Yonyou Yunda Information Technology Services (Nanchang) Co., Ltd. (用友雲達信息技術服務(南昌)有限公司) from October 2012 to April 2014, the vice general manager of Yonyou Fintech from April 2014 to January 2018 and a director of Seentao Tech from July 2021 to July 2024. Additionally, he has been serving as the supervisory positions in multiple subsidiaries, including (i) the chairperson of the supervisory committee of Seentao Tech since August 2024, (ii) the chairperson of the supervisory committee of Yonyou Fintech since November 2024; (iii) the supervisor in Chanjet since November 2024.

In addition to our Group, Mr. Li also served as a supervisor of Beijing Seeyon Hulian Software Co., Ltd. (北京致遠互聯軟件股份有限公司), the shares of which are listed on the Shanghai Stock Exchange (Stock Code: 688369), from December 2019 to May 2024.

Mr. Li obtained his bachelor’s degree in engineering from Huazhong Polytechniques University (華中理工大學) (currently known as Huazhong University of Science and Technology (華中科技大學)) in July 1997 and obtained his master’s degree in business administration from Peking University (北京大學) in June 2004.
Ms. CHEN

Ms. CHEN Yunqi (陳蘊奇)

Ms. CHEN Yunqi (陳蘊奇), aged 48, is a vice president and chief accountant of our Company. She is primarily responsible for the financial matters and procurement management of our Group.

Ms. Chen joined our Group in October 2021 as the vice president and chief accountant. Prior to joining our Group, she served as the senior vice president and finance controller in Pactera Technology Limited (文思海輝技術有限公司) from 2007 to 2017. She served as the senior auditor in Deloitte from 2001 to 2007.

Ms. Chen obtained her bachelor’s degree in accounting from Renmin University of China in the PRC in July 2001 and obtained her Master of Business Administration from Renmin University of China in the PRC in June 2018.
